Terms of Service

Welcome to Apex Cleaner (referred to as "the App"), provided by Zeedo Limited (referred to as "we", "us", or "our"). These Terms of Service constitute a legally binding agreement between you and Zeedo Limited regarding your use of the App and all related services.

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to all of the terms and conditions set forth below, you must not use the App and should uninstall it immediately.

1. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a single Apple device that you own or control, solely for your personal, non-commercial purposes.

This license is granted solely for use with Apple-branded products running the iOS operating system, in accordance with the Apple App Store Terms of Service. You may not distribute or make the App available over a network where it could be used by multiple devices at the same time.

2. User Conduct & Prohibited Activities

You agree to use the App only for lawful purposes and in accordance with these Terms. You are prohibited from:

• Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the App, except to the extent expressly permitted by applicable law;
• Modifying, adapting, translating, or creating derivative works based on the App;
• Removing, altering, or obscuring any copyright, trademark, or other proprietary rights notices in the App;
• Using the App to process, store, or distribute content that infringes on third-party intellectual property rights, violates privacy laws, or contains illegal, harmful, or offensive material;
• Interfering with or disrupting the functionality of the App, its servers, or connected networks;
• Using the App for any commercial purpose, including but not limited to reselling, renting, leasing, or providing commercial services based on the App without our prior written consent.

3. User Content

The App allows you to import, edit, and process photos, videos, and audio files stored on your device ("User Content"). All User Content remains your sole responsibility.

• You retain full ownership of all User Content processed through the App.
• You represent and warrant that you own or have the necessary rights to all User Content you process with the App, and that such content does not violate the rights of any third party.
• We do not claim ownership over any User Content. By default, User Content is processed locally on your device and is not uploaded, stored, or accessed by us.

4. Intellectual Property Rights

All rights, title, and interest in and to the App, including but not limited to software code, user interface design, trademarks, logos, algorithms, documentation, and all intellectual property rights therein, are and shall remain the exclusive property of Zeedo Limited and our licensors.

These Terms do not grant you any rights to our trademarks, service marks, logos, or brand assets. You may not use our brand elements for any purpose without our prior written approval.

5. Subscriptions & In-App Purchases

The App may offer premium features and content through in-app purchases and auto-renewable subscriptions, as billed and processed by Apple Inc. through your Apple ID account.

• Billing & Payment: All payment transactions are handled exclusively by Apple under your Apple ID account terms. We do not store or process your payment information.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless auto-renew is turned off at least 24 hours before the end of the current period. You may manage and cancel subscriptions in your Apple ID Account Settings.
• Refunds: All refund requests must be submitted directly to Apple via the App Store. We do not process refunds directly.
• Price Changes: We may adjust subscription pricing from time to time. Price increases will take effect at the start of the next billing cycle following notice to you.

6. Disclaimers

We do not warrant that the App will operate uninterrupted, error-free, or secure, or that defects will be corrected. You acknowledge that multimedia processing results may vary depending on device performance, file format, and other factors beyond our control.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZEEDO LIMITED, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP EXCEED THE AMOUNT YOU PAID TO US FOR THE APP OR SUBSCRIPTION FEES IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

8. Modifications & Termination

8.1 App Updates

We may from time to time release updates, add new features, or modify existing functionality of the App. We reserve the right to modify or discontinue any part of the App at any time without prior notice.

8.2 Termination

These Terms are effective until terminated by either party. Your rights under this license will terminate automatically if you fail to comply with any provision of these Terms. Upon termination, you must cease all use of the App and delete all copies from your devices.

9. Updates to These Terms

We may revise these Terms of Service from time to time. When we make material changes, we will update the "Effective Date" at the top of this page and may provide notice through the App. Your continued use of the App after the revised Terms take effect constitutes your acceptance of the changes.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the App shall be resolved in the competent courts located in Hong Kong.

To the extent applicable by law, you and we agree to resolve any disputes on an individual basis and waive any right to participate in a class action or class arbitration.

11. General Provisions

• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Entire Agreement: These Terms constitute the entire agreement between you and Zeedo Limited regarding your use of the App, and supersede all prior or contemporaneous agreements, communications, and proposals.
• Apple Acknowledgment: You acknowledge that Apple Inc. is not a party to these Terms and is not responsible for the App or its content. Apple’s obligation to you is limited to refund of the purchase price for the App, in accordance with Apple App Store terms.
